Party A: Fantasia **** Co., Ltd.
Party B: ************ Co., Ltd.
 
 
 
Party A and Party B have entered into _______ Contract on _______DD/MM/YY (hereinafter referred to as the “Original Contract"). In order to strengthen mutual sunshine cooperation and guarantee occupational safety of staff, both parties hereby conclude the Honest Cooperation Agreement (hereinafter referred to as “the Agreement”) through negotiation as code of conduct concerning sunshine cooperation for joint observation.
 
 I. Liabilities of Party A
 1. Party A shall introduce general principle for procurement-related management of the company and provisions of the Agreement to Party B and perform sunshine cooperation education on relevant personnel of the company.
 2. Party A’s staffs shall strictly comply with provisions concerning sunshine cooperation management of the company; and shall neither accept Party B’s entertainment or brokerage, objects, cash, securities, coupons and other economic items at any forms; nor participate in trips or other activities provided by Party B that might affect fair implementation of duties.
 3. Any form of bribe soliciting or accepting behavior of Party A’s staffs (including but not limited to accepting reimbursement of personnel expenses for Party A’s staffs from Party B; or accepting Party B’s invitation of travel and entrance into commercial entertainment venues; or accepting convenience such as housing decoration, marriage, funeral, work schedule of relatives and sons and daughters and overseas trips etc. offered by Party B) found during project construction shall be stopped with measures and be reported to Party B timely.
 4. Should Party A’s staffs violate the Sunshine Cooperation Management Regulations and the Agreement, Party A shall enforce administrative and economic punishment based on gravity of situation and range of influence.
 5. Party A shall accept real-name or anonymous report from Party B. As for Party B’s report against Party A’s staffs of violating sunshine cooperation provisions, Party A shall conduct timely investigation and disposal in conformance with investigation results as well as feedback of investigation results to Party B.
 6. Either party receiving the report shall keep confidential for the informant party. Retaliation against the informant party is not allowed. Cooperation parties with true report and strictly obeying Honest Cooperation Agreement will be given priorities pertaining to follow-up cooperation under equal conditions.
 
 II. Liabilities of Party B
 1. Party B shall guarantee its staffs are familiar with general principle related to procurement management and the Agreement of Party A and execute in compliance.
 2. Party B shall not accept Party A’s staffs to introduce families, relatives or friends to work on contract related business. Party B shall start related business via normal ways; and shall not entertain Party A’s staffs nor give brokerage, objects, cash, securities and valuables for illegitimate profits. Party B shall neither accept any activities provided by Party A that might affect fair implementation of duties; nor conduct any form of bribery to Party A’s staffs during project construction (including but not limited to accepting reimbursement of personnel expenses for Party A’s staffs; or inviting Party A’s staffs to travel or to enter commercial entertainment venues; or providing convenience such as housing decoration, marriage, funeral, work schedule of relatives and sons and daughters and overseas trips ) (hereinafter referred to as “properties”).
 3. Party B is obligated to report to Party A in time of any form of solicitation or reception of properties by Party A’s staffs. If Party B or its staffs give properties to Party A’s staffs or Party A’s staffs ask for properties from Party B and Party B meets its demand without reporting to Party A, once verified, Party A will report inside, meanwhile it will have right to take back the loss incurred and correspondingly punish Party B’s staffs who know without reporting. If Party B is verified for authentic report and strict compliance with this clause, it will be given priority for cooperation renewal by Party A under equal conditions.
 4. If Party B is found to violate the above clauses or bride Party A’s staffs or commit unfair competition, Party A shall have the right to claim Party B for liquidated damage amounting to __% of total contract amount as per the specific situation and consequence caused. If the liquidated damage fails to make up the loss of Party A, Party A shall have the right to continuously claim for compensation from Party B. Meanwhile, Party B has the right to terminate the Agreement, if so, Party B shall return back all amounts paid by Party A and undertake the responsibilities for breach as per the Agreement and shall not be a qualified supplier of Party A within __years.
 5. Party B shall accept supervision from Party A against the implementation by Party B of sunshine cooperation management during the cooperation; and shall actively cooperate with Party A for related investigation;
 6. Party A accepts real-name or anonymous report from Party B and guarantees to keep information of informant confidential. And it is equipped with reporting department and telephone as well as report accepting department, that is: Audit & Supervision Department of Fantasia Group (China) Co., Ltd.

 III. Others
 1. The Agreement is supplementary one to the Original Contract and has the same legal effect as that of the Original Contract.
 2. The Agreement shall come into force upon being signed and sealed by authorized representatives of both parties.
